Gross Receipts Tax.
In addition to the minimum annual tax imposed, a Limited Liability Company is assessed an additional tax based on the gross receipts of the Company. This tax, known as the Gross Receipts Tax, is imposed by California Revenue and Taxation Code section 17942. This tax is based on the total income from all sources derived from or attributable to the State of California.


Management Structure of LLC. A California Limited Liability Company may be either "member managed" or "manager managed". When an LLC is member-managed, all owners of the LLC have authority to make decisions on behalf of the LLC. Conversely, an LLC that is manager-managed designates one or more persons to assume management and decision making responsibilities on behalf of the LLC. In this circumstance, the manager does not have to be a member of the LLC.
